The rules for using LLC Cart's website and services.

1. Acceptance of these terms

These Terms of Service ("Terms") are a binding agreement between you and LLC Cart ("LLC Cart", "we", "us", "our"). They apply to your use of llccart.com and any services we provide, including US LLC formation support, EIN application support, registered agent and business address services, ITIN application preparation and consultations (together, the "Services").

By visiting our site, placing an order or booking a consultation, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Services.

2. Our services

We are not a law firm, accounting firm or tax advisor. LLC Cart is a document preparation and filing service. We do not give legal, tax or financial advice, and no attorney-client relationship is created by using our Services. We act only on the information and instructions you give us.

We prepare and submit filings on your behalf based on the plan you purchase. The features of each plan are described on our website at the time of your order. We may change or discontinue plans for new orders at any time.

You are responsible for deciding whether an LLC, EIN or ITIN is right for you and for getting professional advice where needed.

3. Eligibility

You must be at least 18 years old and able to enter a binding contract. If you order on behalf of a business, you confirm you have authority to bind that business. Our Services are available to customers worldwide, except where prohibited by law, including applicable sanctions and export rules.

4. Your responsibilities

  • Provide accurate, complete and current information and documents. Errors can cause delays, rejections or extra fees.
  • Review your forms and filings before we submit them, when we ask you to.
  • Respond promptly to our requests for information.
  • Send identity documents only through the secure channels we provide.
  • Keep your account and contact details up to date.
  • Follow all laws that apply to your business, including tax, licensing, banking and reporting rules in the US and your home country.

We are not responsible for delays, rejections or losses caused by incorrect, incomplete or late information from you.

5. Orders, pricing and fees

  • Our fees: The price shown for your plan is our service fee. Unless stated otherwise, our plans are one-time fees and not monthly subscriptions.
  • Government fees: State filing fees, IRS fees and similar charges are separate and are paid at cost. These amounts are set by the agencies and may change.
  • Renewals: Annual reports, registered agent renewals, franchise taxes and similar recurring items are not included unless your plan says so. We may offer renewal services at the prices shown at that time.
  • Taxes: You are responsible for any taxes that apply to your purchase.
  • Order acceptance: An order is complete when we receive payment and the details we need to start. We may decline or cancel an order, for example if we suspect fraud or the request is unlawful.

6. Processing times

Any timeframes we share, such as "shipped to the IRS in 5 business days", are estimates for our own preparation and submission work and begin once we have complete and correct information from you. State and IRS processing times are controlled by those agencies and are not guaranteed by us.

7. Cancellations and refunds

  • Before work begins: You may cancel and receive a full refund of our service fee if we have not yet started work on your order.
  • After work begins: Once we have started preparing your documents, our service fee is non-refundable, because the work has been performed.
  • After submission: Once a filing has been submitted to a state agency or the IRS, we cannot recall it, and no refund is available.
  • Government fees: Fees paid to state agencies or the IRS are non-refundable once paid, as we cannot recover them.
  • Our error: If a filing is rejected because of our mistake, we will correct and resubmit it at no extra service fee, or refund our service fee if we cannot complete it.
  • Rejections caused by you: If a filing is rejected due to inaccurate or missing information from you, re-filing may require additional fees.

To request a cancellation or refund, contact us using the details in Section 20. Approved refunds are returned to the original payment method.

8. ITIN services

  • We prepare Form W-7 and supporting documents and submit them to the IRS, with passport verification through a certified acceptance agent where applicable.
  • The IRS alone decides whether to approve an ITIN application and how long it takes. We do not guarantee approval or timing.
  • Where we offer a service guarantee on a plan, it applies only under the conditions stated with that plan.
  • You must have a valid reason for requesting an ITIN under IRS rules. We do not decide your eligibility for you.
  • A US mailing address provided with an ITIN plan is for IRS correspondence related to your application.

9. LLC, EIN and registered agent services

  • We file your Articles of Organization (or the state's equivalent) in the state you choose. Names are subject to state availability and approval.
  • An EIN is issued by the IRS. We assist with the application but cannot guarantee issuance or timing.
  • Operating agreements and other templates are general documents. They may not fit your situation, and you should have them reviewed by a qualified professional.
  • Where a plan includes registered agent service or a US business address, we will forward official notices we receive. You are responsible for reading them and acting on them in time.
  • Forming an LLC does not by itself give you a bank account, payment account or marketplace seller account. Those providers make their own decisions.
  • Ongoing duties, such as annual reports, franchise taxes, beneficial ownership reporting and tax returns, remain your responsibility unless you purchase a service that covers them.

10. Third parties and government agencies

Our Services rely on third parties, including state agencies, the IRS, certified acceptance agents, registered agent partners, payment processors such as Whop, and scheduling tools such as Calendly. We do not control their systems, decisions, fees, delays or outages, and we are not liable for them. Your use of their services may also be subject to their own terms.

11. Consultations

Consultations are provided for general information about our Services and how formation and ITIN filings work. They are not legal, tax or financial advice. Information shared on a call may not apply to your circumstances, and you should not rely on it as a substitute for a licensed professional. Booking a consultation does not oblige you to buy anything.

12. Prohibited use

You agree not to use our Services to:

  • break any law or regulation, including money laundering, tax evasion, fraud or sanctions rules;
  • provide false, misleading or stolen identity information or documents;
  • form or operate a business for an unlawful purpose;
  • impersonate another person or entity;
  • interfere with or attempt to gain unauthorized access to our website or systems;
  • copy, scrape or resell our content or Services without written permission; or
  • harass or abuse our team or partners.

We may refuse service, cancel orders and report suspected unlawful activity to the authorities.

13. Intellectual property

The LLC Cart name, logo, website, content, text, graphics and design are owned by or licensed to us and are protected by intellectual property laws. You may view and use our site for your personal or business needs, but you may not copy, modify or distribute our content without our written permission.

You keep ownership of the documents and information you give us. You give us permission to use them to provide the Services you ordered.

14. Disclaimers

Our website and Services are provided "as is" and "as available". To the fullest extent allowed by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that a filing will be approved, that an agency will meet any timeframe, or that our website will be uninterrupted or error free.

15. Limitation of liability

To the fullest extent allowed by law, LLC Cart and its owners, employees and partners are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunities, arising from your use of the Services. Our total liability for any claim relating to the Services is limited to the amount you paid us in service fees for the order that caused the claim.

Some places do not allow certain limits, so parts of this section may not apply to you.

16. Indemnification

You agree to defend and hold harmless LLC Cart and its owners, employees and partners from claims, losses and expenses (including reasonable legal fees) arising from your breach of these Terms, the information you provide, your business activities or your violation of any law or third-party rights.

17. Termination

You may stop using our Services at any time. We may suspend or end your access, or cancel an order, if you breach these Terms, provide false information or if we are required to do so by law. Sections that by their nature should continue, including payment, disclaimers, liability limits, indemnification and dispute terms, remain in effect after termination.

18. Governing law and disputes

These Terms are governed by the laws of the United States and the state in which LLC Cart is organized, without regard to conflict-of-law rules. Before filing a claim, you agree to contact us and try to resolve the issue informally for at least 30 days. Any dispute that cannot be resolved will be handled in the courts located in that state, unless applicable law requires otherwise. Nothing in these Terms removes any consumer rights you have under mandatory local law.

19. Changes to these terms

We may update these Terms from time to time. We will post the new version with an updated effective date, and for significant changes we may notify you by email or on our website. Orders placed after the update are covered by the new Terms. Continued use of the Services means you accept the changes.
